THQ Inc. and certain of its affiliates, as debtors and debtors in possession (collectively, the “Debtors”), in jointly administered Case No. 12-13398 under chapter 11 of the Bankruptcy Code pending in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”), are commencing the process to sell certain remaining intellectual property assets. The assets for sale and the sale process are described in the attached documents. Please find attached three documents for your consideration:

1) Press release dated February 26, 2013, summarizing the assets for sale and the sale process;

2) Proposed sale procedures and timeline. Please note that the initial bid deadline is April 1, 2013

3) The Debtors’ form non-disclosure agreement (“NDA”) for you to sign if you would like to obtain access to confidential information related to the assets for sale. Our goal is to have all NDA’s signed by early next week.

Interested bidders must provide: 1) complete identification, including the names of corporate officers or those authorized to act on the bidder’s behalf; 2) written evidence of authority to enter into the anticipated transaction; and 3) proof of financial ability to perform the contemplated transaction.
